STANDARD TERMS AND CONDITIONS OF SALE
SEQUELNET – COVERING ALL IT SERVICES, SEQUELMAILFLOW, AND SEQUELALERT
1. Scope of Services
SequelNet provides IT services, cybersecurity, email delivery (SequelMailflow), and critical notification services (SequelAlert). By using any of these services, the Customer agrees to these Terms.
2. Service Usage
2.1. The Customer must use all services lawfully and in compliance with applicable regulations (e.g., GDPR, CAN-SPAM, industry best practices).
2.2. Unauthorized activities such as spam, fraud, illegal content, or system abuse may result in immediate termination without refund.
2.3. The Customer is solely responsible for securing their accounts, data, and communications.
3. Payment & Refunds
3.1. All payments are due in advance and are non-refundable.
3.2. Non-payment may result in suspension or termination of the Service.
4. Service Performance & Availability
4.1. SequelNet aims for 99.9% uptime but does not guarantee uninterrupted service.
4.2. Email delivery success depends on recipient servers, ISP rules, and compliance with best practices.
4.3. SequelAlert provides real-time notifications but is not liable for delays caused by third-party networks.
5. Liability & Indemnification
5.1. SequelNet is not liable for data loss, business interruption, or indirect damages caused by service failures.
5.2. The Customer indemnifies SequelNet against claims arising from misuse, third-party actions, or violations of these Terms.
5.3. SequelNet’s total liability is limited to the last 30 days of paid service.
6. Termination & Suspension
6.1. SequelNet reserves the right to suspend or terminate services for non-payment, misuse, or security threats.
6.2. The Customer may cancel their subscription with 30 days' written notice.
7. Intellectual Property
All software, infrastructure, and branding remain the property of SequelNet. The Customer receives a non-exclusive, non-transferable license to use the Service.
8. Governing Law
This Agreement is governed by the laws of State of Delaware, with disputes resolved in Delaware.
